Ontario-based Prime Healthcare Services Inc. on July 17 received conditional approval from state Attorney General Xavier Becerra to purchase St. Francis Medical Center in Lynnwood out of bankruptcy.St.Francis Medical Center was one of six hospitals owned by Verity Health System of El Segundo, which filed for bankruptcy protection in August 2018.With Becerra’s OK of Prime’s bid for St. Francis, four of those hospitals have received final approvals.Deals for two Bay Area hospitals are still awaiting Becerra’s signoff.Prime’s bid for St. Francis, which was approved in April by Judge Ernest Robles with the Central District of the U.S. Bankruptcy Court in Los Angeles, totaled more than $350 million. The offer included a $200 million base cash price, an assumption of $60 million in debt, and an investment of $47 million in capital improvements.Approval for the deal was contingent on Becerra giving the green light. In approving Prime’s bid, Becerra turned aside a last-minute bid from Palms-based Prospect Medical Holdings Inc. and opposition to Prime’s bid from SEIU United Healthcare Workers West. The union alleged that Prime intended to cut hospital worker wages and outsource some jobs.Prime countered those allegations, saying it intended to keep all current services at the hospital and maintain wages for at least 90% of SEIU members.Becerra did impose conditions as part of his approval, including requirements that Prime keep the hospital open as a trauma center for at least 10 years, cover care in full for individuals earning less than four times the poverty level and provide $10 million a year in charity care for surrounding communities.St.Francis Medical Center, which was founded in 1945, has 384 licensed beds and more than 400 attending physicians. The Daughters of Charity of St. Vincent de Paul owned and operated the hospital for several decades.
The Attorney General’s decision follows an earlier decision by the US Bankruptcy Court of the Central District of California granting Verity’s request to reject the existing collective bargaining agreements which impose legacy cost structures that contributed to bankruptcy.Attorney General Xavier Becerra noted that his approval of the sale of St. Francis to Prime Healthcare “protect(s) access to care for the Los Angeles communities served” by St. Francis. We conditionally approve this sale to keep it that way.”“Receiving conditional approval is an important step in ensuring Prime is able to preserve the St. Francis mission for the benefit of associates, members of the medical staff and most importantly the patients and Southeast Los Angeles community that has relied on St. Francis for 75 years.” said Rich Adcock, CEO of Verity Health.Prime Healthcare is nationally recognized for its success in saving financially distressed hospitals across the United States and clinical excellence, with hospitals named among the nation’s best as “100 Top” hospitals 53 times and more Patient Safety Excellence Awards than any other health system in the country, according to Healthgrades. In early April, the U.S. Bankruptcy Court approved the Asset Purchase Agreement (APA) for the sale of St. Francis Medical Center to Prime.Under the agreement, Prime will acquire St. Francis for a net consideration of over $350 million, including a $200 million base cash price and $60 million for accounts receivable. In addition, Prime has committed to invest $47 million in capital improvements and extending offers of employment to substantially all staff.Additionally, the Court recently granted Verity’s request to reject the existing collective bargaining agreements with two unions that represent associates at St. Francis Medical Center, SEIU and UNAC.Prime negotiated in good faith and proposed increasingly generous offers to UNAC and SEIU with wages far above Prime’s existing agreements at its LA area hospitals.Prime also proposed increasingly generous offers to UNAC with wages far above existing agreements in the market.“We are honored to be selected to continue the St. Francis legacy and are working to review the conditions and finalize the sale as quickly as possible,” said Sunny Bhatia, MD, CEO, Region I and Chief Medical Officer of Prime Healthcare.

The News 4 & Fox 11 Team spoke with long-time Saint Mary’s Regional Medical Center (SMRMC) registered nurse, Tamara Erickson, on Thursday morning about her experience amidst the Coronavirus pandemic.Similar to other nurses in the northern Nevadan region, Erickson said there is frustration and confusion among staff at SMRMC.Including honest communication from management, getting told different things on different days it’s not exactly a surprise but knowing what changed to make those differences we don't get," Erickson said.We have not spoken with other SMRMC nurses, but Erickson said the concerned nurses are well aware of the shortages and the fluidity that comes with their environment."I understand they believe they are going by CDC guidelines and if that is indeed the case then we are at a crisis point as far as equipment goes and that is disconcerting. So be nice to know why two weeks ago we could not wear basic simple surgical masks on the floor, whereas now we are mandatorily required to wear them," said Erickson.Furthermore, Erickson said that nurses are misinformed on SMRMC's parent company's, Prime Healthcare Services, quarantine reimbursement plan."Right now they’re saying we will look at it on a case-by-case basis," she said."I’ve read the information that says they will only pay us 48 hours while we are off waiting for the test results if we get tested...We need to know that we are not going to be punished for doing the job that we are trained and willing to do in case and need you are exposed and put into quarantine.

Alvarado Medical Center emergency room employees conduct a code blue exercise in the hospital’s new emergency department building on Tuesday, Nov. 26.It is a vision that has been discussed at Alvarado for decades and one that registered nurse Chris Cummings, who has worked in the existing emergency department continuously since 1978, said he thought might never arrive.“The size, the number of beds, the technology and systems that are built in and out of the way, it just gives a sense of pride.”Emergency room work, after all, is unpredictable and tends to send workers rushing to the bedside on a moment’s notice. In addition to having nearly three times the square footage, the new $14 million facility, which is the first expansion of Alvarado’s footprint since its western tower was completed in the late 1980s, includes 20 beds, nearly double the number available in the existing ER which will be remodeled and put back into use, likely as a “fast track” urgent care unit for those with less-severe injuries and illnesses.Designed to serve mainly as a surgical hospital and with a history of high-flying cardiac and cardiovascular care, Alvarado is moving more directly into the role of community hospital, seeking to serve those who live closest to its campus just south of Interstate 8 and just west of Lake Murray Boulevard.
